S. Michael Kayan is Administrative Partner, General Counsel and Hiring Partner with the law firm of Constantine Cannon after joining the firm in February 2005. He is an AV-rated attorney with significant experience in representing both entities and individuals in a variety of contractual, commercial and general corporate matters.

Mr. Kayan's practice focuses primarily on representing clients in a wide range of general commercial and business matters, with a particular emphasis on contract-related issues. In addition, he advises clients on matters relating to legislation and government regulation as part of Constantine Cannon's government affairs practice from its Washington, D.C. office.

Prior to joining Constantine Cannon, Mr. Kayan's Washington, D.C.-based practice included stints as General Counsel of PrimeShot Corporation, an Internet-based photography services provider, and as a solo practitioner representing primarily emerging companies and small venturers in various matters including entity formation, contractual negotiation and review, intellectual property counseling and general business advice.

Before relocating to Washington, D.C. Mr. Kayan served as Assistant General Counsel for Circuit City Stores, Inc. in Richmond, Virginia, where he was responsible for commercial and operational legal matters affecting the company. He began his legal career as an associate at McGuire Woods in Richmond, focusing on transactional, securities law and general business law matters. While at McGuire Woods, Mr. Kayan represented pro bono clients in landlord/tenant matters through the Virginia Legal Aid Society.

Mr. Kayan received his J.D. from the University of Virginia School of Law in 1992. He received an M.A. in French Literature in 1986 and a B.A. in Foreign Affairs and French With High Distinction in 1984, also from the University of Virginia. He is licensed to practice in Washington, D.C., New York and Virginia.
